Terms of Service

Welcome to Usero. By accessing or using our service at usero.io, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

These terms apply to all visitors, users, and others who access or use the service. We reserve the right to update these terms at any time, and your continued use of the service constitutes acceptance of any changes.

Usero provides a feedback collection and analysis platform that enables website owners to collect, analyze, and act on user feedback. Our service includes:

• JavaScript widget for embedding feedback forms on your website
• Dashboard for viewing and managing collected feedback
• AI-powered clustering and analysis of feedback data
• GitHub integration for creating pull requests from feedback insights
• Analytics and reporting tools
• Email notifications for new feedback

We may modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

Account Creation: You must provide accurate, complete, and current information during the registration process. You are responsible for maintaining the security of your account and password.

Your Responsibilities:

• You must be at least 18 years old to use this service
• You are responsible for all activity that occurs under your account
• You must not use the service for any illegal or unauthorized purpose
• You must not violate any laws in your jurisdiction (including but not limited to copyright laws)
• You must not transmit any worms, viruses, or code of a destructive nature
• You must not attempt to circumvent security measures or gain unauthorized access to the service
• You must not use the service to collect personally identifiable information without proper consent

Account Termination: We reserve the right to suspend or terminate your account at any time for any reason, including violation of these terms. Upon termination, your right to use the service will immediately cease.

Pricing: Usero offers both free and paid subscription plans:

• Free Plan: Includes 5 GitHub PRs per month, 1,000 feedbacks per month, and 30-day data retention
• Pro Plan: $19/month, includes 50 GitHub PRs per month, 10,000 feedbacks per month, unlimited data retention, and priority support

Payment Processing: All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis.

Free Trial: Pro plans include a 14-day free trial. Your payment method will not be charged until the trial period ends. You may cancel at any time during the trial without being charged.

Billing Cycle: Paid plans are billed monthly on the date you subscribe. Your subscription will automatically renew each month unless you cancel before the renewal date.

Refunds: We offer refunds on a case-by-case basis within 14 days of your initial purchase. No refunds are provided for partial months of service. Contact us at will@usero.io to request a refund.

Plan Changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount. Downgrades take effect at the end of your current billing period.

Cancellation: You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will automatically downgrade to the Free plan.

Your Data: You retain all rights to the feedback data you collect through our service. We claim no intellectual property rights over the content you provide.

Data Storage: We store your feedback data securely using industry-standard practices. Free plan users receive 30 days of data retention, while Pro plan users receive unlimited retention.

Data Processing: We may process your feedback data to provide AI-powered insights, clustering, and analytics. This processing is performed solely to deliver the service features you have subscribed to.

Data Export: You may export your feedback data at any time through the dashboard interface.

Data Deletion: Upon account termination or request, we will delete your data in accordance with our data retention policies. Some data may be retained for legal or operational purposes as required by law.

Privacy: Our collection, use, and disclosure of personal information is governed by our Privacy Policy. By using the service, you consent to such collection, use, and disclosure.

Compliance: You are responsible for ensuring that your use of the service complies with all applicable data protection laws, including GDPR, CCPA, and other privacy regulations. You must obtain appropriate consent from your users before collecting their feedback.

Our Property: The service, including its original content, features, and functionality, is and will remain the exclusive property of Usero and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

License to Use: Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the service for your internal business purposes.

Restrictions: You may not:

• Reproduce, modify, or create derivative works of the service
• Reverse engineer, decompile, or disassemble the service
• Remove or alter any proprietary notices on the service
• Use the service to build a competing product or service
• Sell, rent, lease, sublicense, or otherwise transfer rights to the service

Open Source: Our React feedback widget is open source and available under the MIT License at github.com/willsmithte/react-feedback-collector. The terms of the MIT License apply to the widget code, while these Terms of Service apply to the SaaS platform.

Feedback: We welcome your feedback and suggestions about the service. By providing feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our service without compensation to you.

Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability: IN NO EVENT SHALL USERO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the service
• Any conduct or content of any third party on the service
• Any content obtained from the service
• Unauthorized access, use, or alteration of your transmissions or content

Limitation Amount: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification: You agree to defend, indemnify, and hold harmless Usero and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the service or violation of these terms.

Termination by You: You may terminate your account at any time by contacting us at will@usero.io or through your account settings. Upon termination, you will no longer have access to your account or data.

Termination by Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to breach of these terms. Upon termination, your right to use the service will immediately cease.

Effect of Termination: All provisions of these terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Data Retention After Termination: After termination, we will retain your data for up to 30 days to allow for recovery in case of accidental termination. After this period, all data will be permanently deleted, except as required by law.

We reserve the right to modify or replace these terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect through email notification or a notice on our website.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.

We encourage you to review these terms periodically for any changes. The "Last Updated" date at the top of this page indicates when these terms were last revised.

Governing Law: These terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising from or relating to the subject matter of these terms shall be finally settled by binding arbitration in San Francisco, California, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Jurisdiction: Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. If any provision of these terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

Entire Agreement: These terms, together with our Privacy Policy, constitute the entire agreement between you and Usero regarding the use of the service and supersede all prior agreements.

Severability: If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect.

Assignment: You may not assign or transfer these terms, by operation of law or otherwise, without our prior written consent. We may assign these terms at any time without notice.

No Waiver: No waiver of any term of these terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
